By accessing, browsing, or using this website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website.

Note: These Terms govern the use of our website. The delivery of our core B2B services—including IT consulting, custom Power BI dashboards, Cloud Infrastructure engineering, Proactive Managed IT, and The Noblexus Blueprint—are governed by separate, mutually executed Master Services Agreements (MSAs) or Statements of Work (SOWs).

2. Intellectual Property Rights

All content, materials, designs, text, graphics, logos, and digital assets on this website are the exclusive property of Noblexus Technologies LTD. or its licensors and are protected by Canadian and international copyright, trademark, and intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works from any part of this website without our express, prior written consent.

3. Website Acceptable Use

You agree to use our website only for lawful B2B informational purposes. You are strictly prohibited from:

  • Attempting to gain unauthorized access to our website, servers, or networks.
  • Introducing viruses, malware, or any other harmful code.
  • Using the website to transmit spam, unsolicited communications, or false inquiries.
  • Engaging in any activity that disrupts or interferes with the proper functioning of the website.
  • Using automated tools, bots, scrapers, or data-mining techniques to extract content from our website without our express written consent.
  • Attempting to circumvent or interfere with security features, including Google reCAPTCHA, on our contact forms.

5. Limitation of Liability

In no event shall Noblexus Technologies LTD., its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of this website.

This includes, without limitation, damages for loss of profits, business interruption, loss of data, or other intangible losses, whether based on contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Our website may contain links to external, third-party websites that are not owned or controlled by Noblexus. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You access them at your own risk.

7. Data and Backups

While Noblexus Technologies provides 1TB of dedicated backup storage and automated backup tools, the Client acknowledges that data storage is inherently risky. Noblexus Technologies makes no absolute guarantees against data loss or corruption. The Client is strongly encouraged to maintain local copies of their critical data. Noblexus Technologies shall not be held liable for any lost, damaged, or corrupted files or databases.

8. Hosting Acceptable Use and Suspension of Service

The Client agrees to use the hosting services for lawful purposes only. The hosting environment may not be used to distribute malware, host illegal content, or send unsolicited commercial email (SPAM). Noblexus Technologies reserves the right to temporarily suspend or terminate services, without liability, if the Client is found to be in violation of these terms or if a monthly payment is more than 7 days past due.

9. Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement (other than for delay in the payment of fees) due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, acts of war, hardware failures, or internet backbone outages.

10. Governing Law and Jurisdiction

These Terms of Service and your use of the website shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts located in British Columbia, Canada.

11. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

12. Entire Agreement

These Terms constitute the entire agreement between you and Noblexus Technologies LTD. regarding your use of this website, and supersede any prior agreements or understandings, whether written or oral, on the same subject. This does not affect the terms of any separate MSA or SOW governing service delivery.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting to this page, with the “Effective Date” updated accordingly. Your continued use of the website following the posting of revised Terms constitutes your acceptance of the changes.
